Board of Directors

The Board of Directors determines the strategic direction of the company’s operations and oversees their implementation, in accordance with its corporate purpose, taking into consideration the social and environmental challenges.

The Board of Directors shall elect from among its members a Chairman, who must be an individual, who organises and oversees the work of the Board of Directors and ensures that the company’s bodies operate smoothly.

The Board can appoint one or more Deputy Chair(s) whose roles involve, in the absence of the Chairman, chairing the Board’s sessions and General Meetings, and in the event of Chairman is prevented from attending, to perform the tasks that fall within the latter’s remit.

The Board of Directors may appoint one or more observers. The observers are invited to all meetings of the Board of Directors’ which they attend in an advisory capacity.

The Board of Directors of 2 June 2021 having decided to separate the functions of Chairman of the Board and Chief Executive Officer, a Chief Executive Officer and upon proposal of the latter, a Deputy Chief Executive Officer, have been appointed.

In its internal regulations, the Board of Directors has set out the roles and responsibilities of its Specialised Committees: the Audit and Risk Committee, the Appointment and Remuneration Committee, the Strategy Committee and the Sustainable Development Committee.
